Partner Agreement

Version 2026-09-02. Shown here at the standard terms of 20% for 36 months, paid in GBP. Your own agreement, with the terms in your invitation, is accepted during setup and kept on your portal.

1. Who this is between

This agreement is between GlanceHQ Ltd (company number 17334153, registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom), referred to as GlanceHQ, and the Partner. It starts when the Partner accepts it during setup and continues until ended under section 11.

The Partner is an independent business or individual. Nothing here creates employment, agency, a partnership in the legal sense, or authority to make commitments on GlanceHQ's behalf.

2. What the Partner does

GlanceHQ gives the Partner a personal link and code. The Partner may share them with their audience in their own content, in their own voice. GlanceHQ provides product information and creative assets on request.

The appointment is non-exclusive. GlanceHQ may work with other partners, and the Partner may promote other products, provided section 8 is observed.

3. Referred Families

A Referred Family is a household that creates its GlanceHQ account through the Partner's link, or by another attribution method GlanceHQ operates, and is recorded against the Partner at the moment the account is created. Attribution is first-touch and permanent: a household is linked to one partner only, and a later visit through another link does not move it.

GlanceHQ decides attribution in good faith from its own records and may correct an attribution that is wrong. Some routes cannot be attributed, including installs made directly from an app store without first visiting the Partner's link, and GlanceHQ has no obligation to pay commission on households it cannot attribute.

4. Commission

GlanceHQ pays the Partner 20% of Net Subscription Revenue Received from each Referred Family, for 36 months from the date that family was attributed to the Partner (the Commission Period). Revenue received after a family's Commission Period ends earns nothing.

Net Subscription Revenue Received means the subscription payments GlanceHQ has actually received for that family, less: fees and commissions taken by Apple, Google or the payment processor; refunds and chargebacks; and any tax collected or withheld by a store or processor that does not reach GlanceHQ. Discounts and free periods produce no revenue and therefore no commission.

Commission accrues only when the underlying funds have settled to GlanceHQ. Until then a receipt may be shown to the Partner as pending, for information only; a pending amount is not owed. If a payment is later refunded or charged back, the commission on it is reversed. If that commission has already been paid, the reversal is set against future commission.

Commission is calculated in the currency of each receipt and paid in GBP. Where a conversion is needed GlanceHQ uses its bank's rate on the day of payment.

5. Payment

GlanceHQ pays accrued commission by bank transfer, or another method agreed in writing, when the accrued balance reaches £25 or more. Payments are made in the month after the month in which the balance qualifies. Smaller balances carry forward.

The Partner is responsible for any tax, VAT, registration or reporting that applies to money they receive under this agreement, and for giving GlanceHQ accurate payment details. Where the Partner is VAT registered, commission is exclusive of VAT and the Partner must issue a valid VAT invoice.

GlanceHQ's partner portal and ledger are the record of Referred Families, accrued, pending and paid amounts. The Partner should raise any query within 60 days of the payment it concerns.

6. What the Partner can see

The Partner sees Referred Families by number only, with a join date, whether the family is currently subscribed, and the commission earned. The Partner is never shown a family's name, email, children, schools, calendar or anything a family has sent to GlanceHQ, and must not attempt to identify a family from the information provided.

7. Honest promotion

The Partner must make clear that they earn commission when they promote GlanceHQ, in the way the advertising rules in their country require (in the UK, the CMA and ASA guidance on paid partnerships). Content must be truthful, must not claim GlanceHQ does something it does not, and must not present GlanceHQ as a medical, safeguarding or emergency service.

GlanceHQ never connects to a family's inbox and never sells data. The Partner must not say or imply otherwise.

8. What is not allowed

The Partner must not: bid on GlanceHQ's name or brand in paid search; register domains, handles or pages that imitate GlanceHQ; send unsolicited bulk messages; use the link in incentives such as cashback, giveaways or rebate schemes without GlanceHQ's written agreement; refer themselves, their household or accounts created to earn commission; or use bots or any other means to inflate clicks or sign-ups.

Commission from any household attributed through conduct in this section is forfeit, and GlanceHQ may end the agreement immediately.

9. Brand and content

GlanceHQ grants the Partner a non-exclusive, revocable licence to use the GlanceHQ name, logo and assets it supplies, solely to promote GlanceHQ under this agreement. The Partner keeps ownership of their own content. GlanceHQ may reshare content that features GlanceHQ, with credit, unless the Partner asks it not to.

10. Changes

GlanceHQ may change the programme, including the commission rate for families referred in future, on 30 days' written notice. A change does not reduce the rate or the Commission Period for families already referred before it takes effect.

11. Ending the agreement

Either side may end this agreement at any time on 30 days' written notice, including by email. GlanceHQ may end it immediately for a breach of sections 7 or 8, for conduct that damages GlanceHQ's reputation, or if the Partner becomes insolvent.

If the Partner ends the agreement, or GlanceHQ ends it on notice, commission continues to accrue and be paid on families referred before the end date, for the remainder of each family's Commission Period. If GlanceHQ ends the agreement for breach, no further commission is payable after the end date.

12. Liability and law

GlanceHQ's total liability to the Partner under this agreement is limited to the commission paid or payable in the twelve months before the claim. Neither side is liable to the other for indirect loss or lost profit. Nothing limits liability for fraud or for anything that cannot be limited by law.

This agreement is governed by the law of England and Wales and its courts have exclusive jurisdiction. It is the whole agreement between the parties about the programme and replaces any earlier discussion.
